Live Conscious® - Hair La Vie® Confidence Challenge - Terms of Use

Read This Terms of Use Agreement Before Participating in the Hair La Vie® Confidence Challenge

By participating in the Hair La Vie® Confidence Challenge and responding to the designated Facebook post with the hashtag #HairLaVieConfidence, you grant New Momentum Media, Inc. ("Live Conscious®") permission to use any content you submit in connection with the post. Additionally, you agree to the following terms and conditions:

1. Content Ownership and Representation:
   You represent and warrant that you are the original creator of the video(s), photograph(s), testimonial(s), or other material(s) (collectively, the "Content") that you submit as part of the Hair La Vie® Confidence Challenge. You confirm that you have all necessary rights to grant the permissions outlined in this agreement. If any other individuals appear in the Content, you confirm that you have obtained their permission to include them and grant the rights described below.

2. License Grant:
   You hereby grant Live Conscious® and its parent company, Scale Media, Inc., an irrevocable, non-exclusive, royalty-free, worldwide right and license to use, reproduce, modify, display, distribute, and create derivative works from the Content in connection with the marketing, advertising, distribution, and promotion of Hair La Vie® products and/or the Live Conscious® brand. This license extends across all media channels, including but not limited to social media, websites, emails, print materials, and digital advertisements, without any compensation to you.

3. Use of Name and Likeness:
   You grant Live Conscious® the right to use your name, likeness, voice, image, social media handle, and any other personal references (collectively, the "Attributes") in connection with the Content for promotional and marketing purposes. This includes but is not limited to use in advertising materials, on the internet, and across social media platforms, without restriction as to geographic distribution or duration.

4. Representations and Warranties:
   By submitting Content, you represent and warrant that:

   1. You have the sole and exclusive right to enter into this agreement and grant the rights outlined herein.

   2. The rights granted do not infringe upon any rights of any person or entity.

   3. No other party's consent is required for Live Conscious® to exercise its rights hereunder.

   4. You are over the legal age of majority in your jurisdiction and a legal resident of your jurisdiction.

5. Limitation of Liability:
   You understand and agree that Live Conscious® shall not be liable for any loss, damage, or claims arising from the use of the Content. Live Conscious® reserves the right, but is not obligated, to monitor, edit, or remove Content at its discretion.

6. Indemnification:
   You agree to release, indemnify, and hold harmless Live Conscious®, Scale Media, Inc., and their affiliates from any claims, damages, or liabilities arising from the use of the Content and/or Attributes as permitted under this agreement.

7. Prohibited Content:
   You agree not to engage in activities that violate any laws or infringe on the rights of others while permitting the use of your Content.

8. Infringement Claims:
   If you believe your intellectual property or publicity rights have been used without authorization, please contact us at support@weliveconscious.com.

By replying with the hashtag #HairLaVieConfidence to Live Conscious®’ Facebook post, you acknowledge and agree that your Content may be used in accordance with the terms outlined above.
